These Terms of Service ("Terms") govern your access to and use of the Software4.net website, client portal, and services (collectively, the "Services") provided by Software4.net ("Software4", "we", "us", or "our"). By accessing or using the Services, you agree to these Terms.

1. Use of the Services

You agree to use the Services only for lawful purposes and in accordance with these Terms. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.

2. Services & Subscriptions

Specific services, packages, pricing, and deliverables are set out in the proposal, order form, or subscription plan agreed between you and Software4. Subscription services renew automatically on the billing cycle selected unless cancelled in accordance with the terms of your plan.

3. Payments & Billing

Fees are billed in advance on a recurring basis unless otherwise agreed. Payments are processed through our third-party payment processor (Stripe). You authorize us to charge your payment method for all fees incurred. Late or failed payments may result in suspension of the Services until resolved.

4. Client Content & Intellectual Property

You retain ownership of content, data, and materials you provide to us ("Client Content"). You grant us a license to use Client Content solely as necessary to provide the Services. Unless otherwise agreed in writing, deliverables created specifically for you under a paid engagement are owned by you upon full payment; our pre-existing tools, frameworks, and methodologies remain our property.

5. Acceptable Use

You agree not to: (a) use the Services to violate any law or third-party right; (b) upload malicious code or attempt to gain unauthorized access to our systems; (c) interfere with or disrupt the integrity or performance of the Services; or (d) resell or sublicense the Services without our written consent.

6. Service Availability

We aim to keep the Services available and performant but do not guarantee uninterrupted or error-free operation. We may perform maintenance, updates, or modifications that temporarily affect availability.

7. Termination

Either party may terminate a subscription in accordance with the applicable order form or plan terms. We may suspend or terminate access to the Services immediately if you breach these Terms or misuse the Services.

8. Disclaimers

The Services are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, Software4 will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, arising out of or related to your use of the Services. Our total liability for any claim will not exceed the amount you paid us in the twelve (12) months preceding the claim.

10. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict of law principles, unless otherwise required by applicable local law.

11. Changes to These Terms

We may update these Terms from time to time. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
